This Distributor Agreement ("Agreement") is entered into between Mojeaga Network ("Company") and the individual or legal entity whose application has been approved as an Independent Distributor ("Distributor"). By completing registration, purchasing a qualifying starter package where applicable, or accepting these Terms electronically, the Distributor agrees to comply with this Agreement, the Compensation Plan, Policies & Procedures, Privacy Policy, Code of Ethics, and all future amendments published by the Company.

1. Definitions

For purposes of this Agreement:

• Company means Mojeaga Network and its parent company, subsidiaries, affiliates, successors, and assigns.
• Distributor means an approved independent business partner authorized to market Company products and sponsor other distributors.
• Sponsor means the Distributor who personally introduces and enrolls another Distributor.
• Downline Organization means all Distributors enrolled beneath a Distributor according to the Compensation Plan.
• Compensation Plan means the official commission and bonus system adopted by the Company.
• Personal Volume (PV) means the qualifying sales volume assigned to Company products.
• Business Activity Requirement (BAR) means the minimum monthly qualification required to earn commissions.
• Back Office means the Distributor's online business management portal.
• Company Materials include trademarks, logos, product information, training materials, videos, compensation documents, software, and intellectual property.

2. Eligibility Requirements

To become a Distributor, an applicant must:

• Be at least eighteen (18) years old or the legal age in their jurisdiction.
• Possess legal capacity to enter into contracts.
• Provide accurate registration information.
• Accept this Agreement electronically.
• Comply with applicable laws.
• Not have been previously terminated for misconduct unless expressly reinstated.
• Businesses, partnerships, and corporations may register subject to Company approval.

3. Independent Contractor Status

A Distributor is an Independent Contractor. Nothing in this Agreement creates:

• Employment
• Partnership
• Joint venture
• Franchise
• Agency relationship

Distributors are solely responsible for:

• Taxes
• Insurance
• Business expenses
• Licenses where required
• Compliance with local laws

Distributors may determine their own working hours and business methods provided Company policies are followed.

4. Registration Requirements

Every Distributor shall:

• Complete the official registration form.
• Provide valid identification where required.
• Submit accurate banking details.
• Complete Know Your Customer (KYC) verification before withdrawals where applicable.
• Maintain updated contact information.
• Maintain only one personal Distributor account unless expressly authorized.

The Company reserves the right to reject or cancel any application containing false or misleading information or a persona non grata without having to explain its decision.

5. Distributor Rights

Approved Distributors have the right to:

• Purchase Company products.
• Retail Company products.
• Sponsor new Distributors.
• Earn commissions subject to qualification.
• Participate in incentive programs.
• Attend Company events.
• Access business training.
• Use approved marketing materials.
• Operate their business throughout approved territories.

No Distributor acquires ownership of customers, downline members, territories, or Company intellectual property.

6. Distributor Responsibilities

Each Distributor agrees to:

• Operate honestly and professionally.
• Represent products accurately.
• Follow all Company policies.
• Maintain ethical business conduct.
• Protect customer information.
• Support personally sponsored Distributors.
• Maintain required qualification standards.
• Report suspected fraud.
• Comply with advertising guidelines.
• Respect all applicable laws.

7. Sponsor Responsibilities

Sponsors shall:

• Properly train newly enrolled Distributors.
• Provide ongoing mentorship.
• Encourage ethical business practices.
• Assist with product knowledge.
• Explain the Compensation Plan accurately.
• Never pressure anyone into joining.
• Promote responsible business growth.

Sponsors shall not misrepresent potential earnings.

8. Code of Ethics

Every Distributor shall:

• Conduct business honestly.
• Treat customers respectfully.
• Respect fellow Distributors.
• Avoid deceptive practices.
• Avoid harassment or intimidation.
• Refrain from making false health claims.
• Comply with all consumer protection laws.
• Promote the Company's reputation positively.

Unethical conduct may result in disciplinary action.

9. Marketing Rules

Distributors may market Company products only using approved materials. Distributors shall not:

• Make unapproved medical claims.
• Guarantee cures.
• Guarantee income.
• Use misleading testimonials.
• Create unauthorized Company websites.
• Modify Company trademarks.
• Conduct spam marketing.
• Purchase fraudulent leads.
• Misrepresent product pricing.

Social media promotions must remain truthful and compliant.

The Company may require removal of non-compliant marketing materials.

10. Income Disclosure Statement

The Company does not guarantee:

• Income
• Profit
• Financial success
• Lifestyle outcomes

Distributor earnings depend upon factors including:

• Personal effort
• Sales performance
• Leadership
• Customer retention
• Team development
• Market conditions
• Compliance with Company policies

Past performance does not guarantee future results.

Prospective Distributors should not rely on projected earnings when deciding to join.

11. Non-Solicitation

During active distributorship and for twelve (12) months following termination, a Distributor shall not knowingly:

• Recruit Company Distributors into competing direct selling businesses.
• Encourage Company Distributors to terminate their distributorship.
• Interfere with Company business relationships.

This provision does not prohibit ordinary social relationships unrelated to competing business activities.

12. Confidentiality

Confidential Information includes:

• Distributor genealogy
• Customer databases
• Sales reports
• Compensation information
• Marketing strategies
• Pricing structures
• Business systems
• Training materials

Distributors agree to maintain strict confidentiality during and after termination.

Unauthorized disclosure may result in legal action.

13. Intellectual Property

All trademarks, logos, graphics, software, documents, videos, manuals, and product names remain the exclusive property of the Company.

Distributors receive a limited, revocable, non-transferable license to use approved materials solely for conducting Company business.

No ownership rights are transferred.

14. Commission Qualification

Commissions are earned only when:

• Sales are valid.
• Products are fully paid for.
• Qualification requirements are met.
• Business Activity Requirements are maintained.
• Compliance standards are satisfied.
• Accounts remain in good standing.

The Company may withhold or recover commissions resulting from:

• Fraud
• Returned products
• Chargebacks
• Policy violations
• Incorrect payments

15. Rank Advancement

Rank advancement shall be governed by the official Compensation Plan.

Distributors may qualify through approved advancement methods established by the Company.

Rank recognition does not create vested rights.

The Company reserves the authority to:

• Verify qualification
• Audit volume
• Delay recognition pending investigation
• Correct administrative errors

Improperly obtained rank advancements may be reversed.

16. Termination

This Agreement may be terminated:

By the Distributor: At any time through written notice.

By the Company:

• Fraud
• Misrepresentation
• Ethical violations
• Criminal conduct affecting Company reputation
• False product claims
• Policy violations
• Failure to maintain required standards
• Illegal activities

Upon termination:

• Distributor rights immediately cease.
• Use of Company trademarks must stop.
• Outstanding commissions remain subject to Company policies.
• Confidentiality obligations survive termination.

17. Dispute Resolution

The parties shall first attempt to resolve disputes through good-faith negotiation.

If unresolved, disputes may proceed to mediation.

Where mediation fails, disputes shall be resolved through binding arbitration or the competent courts as permitted under applicable law.

Each party shall bear its own legal costs unless otherwise awarded.

18. Governing Law

This Agreement shall be governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any legal proceedings shall be brought before courts of competent jurisdiction within Nigeria unless otherwise agreed by the parties.

19. Acceptance Agreement

By registering as a Distributor, I acknowledge that:

• I have read this Distributor Agreement.
• I understand the Compensation Plan.
• I agree to comply with all Company Policies and Procedures.
• I understand that I am an Independent Contractor.
• I understand that earnings are not guaranteed.
• I agree to operate ethically and lawfully.
• I consent to electronic records and electronic signatures.
• I agree to future policy updates published by the Company.
